The Company today announces that at a General Meeting of Crown  Place
VCT PLC, duly convened and held  at 1 King's Arms Yard, London,  EC2R
7AF the following resolution was passed:

"that the amount standing to the credit of the share premium  account
of the Company, at the date of the  order to be made by the Court  on
the hearing for the  claim for confirmation  of the cancellation,  be
cancelled."

The Company is now arranging for the relevant applications to be made
to the Court in  order to seek approval  for the cancellation of  the
Share Premium account.
