Total Voting Rights and Issue of Equity
Albion Development VCT PLC (the "Company") announces that, further to the Dividend Reinvestment Scheme introduced by the Company (details of which were set out in the Circular issued to shareholders on 27 August 2008 for Ordinary Shares and 5 April 2011 for D shares), the Company today allotted 92,099 Ordinary shares of 50p each (the "New Ordinary Shares") and 12,532 D Shares of 50p each (the ''New D Shares'') in the capital of the Company.
The New Ordinary Shares were issued at a price of 74.2p, comprising the net asset value at 31st March 2012 of 76.7 pence per Ordinary share less the dividend of 2.50 pence per Ordinary share. The New D Shares were issued at a price of 93.1 pence, comprising the net asset value at 31st March 2012 of 94.8 pence less the dividend of 1.75 pence per D Share.
Accordingly, application has been made to the UK Listing Authority for the admission of the New Ordinary Shares to the Official List of the UK Listing Authority and to trading on the London Stock Exchange's main market for listed securities and it is expected that dealings will commence on 1 June 2012. The New Ordinary Shares and D Shares will rank pari passu in all respects with the existing Ordinary shares and D Shares in issue.
Following the issue of the New Ordinary Shares and New D shares the Company will have 35,330,485 Ordinary shares and 6,365,184 D shares in issue. Albion Development VCT PLC holds 3,428,000 Ordinary shares in Treasury.
Therefore the total number of voting rights in Albion Development VCT PLC is 31,902,485 in respect of Ordinary shares and 6,365,184 in respect of D shares and the total voting rights are 38,267,669. These figures may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Albion Development VCT PLC under the FSA's Disclosure and Transparency rules.
