VOTING RIGHTS AND CAPITAL
In conformity with the Transparency Directive's provisions we would like to
notify the market of the following;
Close Brothers Development VCT PLC's capital as at 31 October 2007 consists of
32,438,309 Ordinary shares with a nominal value of 50p each, with voting rights.
Close Brothers Development VCT PLC holds 1,616,205 Ordinary shares in
Treasury.
Therefore, the total number of voting rights in Close Brothers Development VCT
PLC is 30,822,104 Ordinary shares.
The figure of 30,822,104 may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, Close Brothers Development VCT
PLC under the FSA's Disclosure and Transparency Rules.
