VOTING RIGHTS AND CAPITAL

In conformity with the provisions of DTR 5.6, we would like to notify the market
of the following:

Albion Development VCT PLC's capital as at 31 March 2011 consists of 34,067,532
Ordinary  shares and 6,335,155 D shares, both  with a nominal value of 50p each.
 Albion Development VCT PLC holds 3,243,696 Ordinary shares in Treasury.

Therefore,  the total number of  voting rights in Albion  Development VCT PLC is
37,158,991, which  may  be  used  by  shareholders  as  the  denominator for the
calculations  by which they will determine if  they are required to notify their
interest  in, or a change to their interest in, Albion Development VCT PLC under
the FSA's Disclosure and Transparency Rules.
