VOTING RIGHTS AND CAPITAL

In conformity with the provisions of DTR 5.6, we would like to notify the market of the following:

Albion Development VCT PLC's capital as at 30 November 2011 consisted of 33,823,795 Ordinary shares and 6,352,652 D shares, both with a nominal value of 50p each. Albion Development VCT PLC holds 3,268,396 Ordinary shares in Treasury.

Therefore the total number of voting rights in Albion Development VCT PLC is 30,555,399 in respect of Ordinary shares and 6,352,652 in respect of D shares giving a total voting rights of 36,908,051. These figures may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Albion Development VCT PLC under the FSA's Disclosure and Transparency rules.
