VOTING RIGHTS AND CAPITAL

In conformity with the provisions of DTR 5.6, we would like to notify the market of the following:

Albion Development VCT PLC's capital as at 31 October 2012 consists of 35,296,961 Ordinary shares and 6,377,976 D shares, both with a nominal value of 1p each. The Company holds 3,428,000 Ordinary shares in Treasury.
           
Therefore, the total number of voting rights in Albion Development VCT PLC is 31,868,961 in respect of Ordinary shares and 6,377,976 in respect of D shares giving  total voting rights of 38,246,937. These figures may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Albion Development VCT PLC under the FSA's Disclosure and Transparency Rules.
