VOTING RIGHTS AND CAPITAL

In  conformity with  the Transparency  Directive's provisions  we would  like to
notify the market of the following:

Albion   Enterprise  VCT  PLC's  capital  as  at  26 February  2010 consists  of
30,377,492 Ordinary  shares with a nominal  value of 50p.  Albion Enterprise VCT
PLC holds 54,967 shares in Treasury.

Therefore  the total  number of  voting rights  in Albion  Enterprise VCT PLC is
30,322,525.

The  figure of 30,322,525 may be used by shareholders as the denominator for the
calculations  by which they will determine if  they are required to notify their
interest in, or change to their interest in, Albion Enterprise VCT PLC under the
FSA's Disclosure and Transparency Rules.
