VOTING RIGHTS AND CAPITAL

In conformity with the Transparency Directive's provisions we would like to
notify the market of the following:

Close Enterprise VCT PLC's capital as announced on 5 April consisted of
20,000,145 Ordinary shares with a nominal value of 50p.  However, due to an
administrative error, there was an over-allotment of 207,000 shares.  Close
Enterprise VCT PLC's share capital as at 5 April 2007 and as at 30 April 2007
consists of 19,793,145 Ordinary shares with a nominal value of 50p. Close
Enterprise VCT PLC does not hold any shares in Treasury.

The figure of 19,793,145 may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or change to their interest in, Close Enterprise VCT PLC under the
FSA's Disclosure and Transparency Rules.
