KINGS ARMS YARD VCT PLC
The final allotment for Kings Arms Yard VCT PLC (the "Company") under the Albion VCTs Prospectus Top Up Offers 2013/2014 (the "Prospectus Offers") (which were launched on 19 March 2014) took place on 30 September 2014 and are now closed.
The Albion VCTs Top Up Offers 2013/2014, (the "Top Up Offers") and the Prospectus Offers constitute separate offers made by each of the Albion VCTs which are participating in it.
For this final allotment of the Prospectus Offers, the Company received applications for 2,838,465 New Ordinary shares with a nominal value of 1 penny per share at an issue price of 20.6 pence per share. The net proceeds of this allotment by the Company are approximately £567k.
Application has been made to the Financial Conduct Authority for 2,838,465 New Ordinary shares to be admitted to the Official List and to the London Stock Exchange for the New Ordinary shares to be admitted to trading on the London Stock Exchange's market for listed securities.
The total raised for the Company under the Offers and under other Non-Prospectus issues since 6 November 2013, other than in respect of Dividend Reinvestment Schemes, was £3.4m and across the six VCTs managed by Albion Ventures LLP was £21.2m.
It is expected that Admission will become effective, and that dealings in the shares will commence on or before 8.00 a.m. on or before 6 October 2014.
Following this allotment and in conformity with the provisions of DTR 5.6, we would like to notify the market of the following:
The Company's capital as at 30 September 2014 consists of 226,241,536 Ordinary shares with a nominal value of 1 penny each, of which 23,528,000 Ordinary shares are held in Treasury.
Therefore the total number of voting rights in the Company is 202,713,536 which may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
