Albion Venture Capital Trust PLC
The second allotment of New Ordinary Shares of nominal value 50 pence per share
in Albion Venture Capital Trust PLC under the Albion VCTs Linked Top Up Offer
(which was launched on 1 November 2010) (the "Offer") took place on 2 March
2011 at an issue price of 83.1 pence per New Ordinary Share.
Applications for 782,223 New Ordinary Shares in Albion Venture Capital Trust VCT
PLC were received.
The net proceeds of the Offer to date to Albion Venture Capital Trust PLC are
approximately £1,253,000. The Offer will remain open until 12 noon on 5 April
2011 unless fully subscribed and closed earlier.
Application has been made to the Financial Services Authority for 782,223 New
Ordinary Shares to be admitted to the Official List and to the London Stock
Exchange for the New Ordinary Shares to be admitted to trading on the London
Stock Exchange's market for listed securities.
It is expected that Admission will become effective, and that dealings in the
shares will commence on or before, 8.00 a.m. on 29 March 2011.
As at this second closing of the Albion VCTs Linked Top Up Offer on 22 March
2011, applications (across all seven of the Albion VCTs) totalling £8,559,000
were received, and have been met in full.
Due to recent fluctuations in the pound: Euro exchange rate and the amount of
investors who have elected to have their tax-free dividends reinvested, in
accordance with the "Offer Document" Albion anticipate that the fundraising
limit under the offer will be capped at approximately £13.3m.

Following this allotment and in conformity with the Transparency Directive's
transitional provision 6, we would like to notify the market of the following:
Albion Venture Capital Trust PLC's capital as at today consists of 37,772,181
Ordinary shares with a nominal value of 50p each. Albion Venture Capital Trust
PLC holds 2,043,273 shares in Treasury.
Therefore, the total number of voting rights in Albion Venture Capital Trust PLC
is 35,728,908 which may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or change to their interest in, Albion Venture Capital Trust PLC
under the FSA's Disclosure and Transparency Rules.
