Receipt of Annual General Meeting Requisition Notice
The Board of Alliance Trust PLC (the "Company") announces that on 29 December
2010, it received a requisition notice from LACV Ltd, a British Virgin Islands
registered company and 100 other companies (LPL UK 1 Ltd to LPL UK 100 Ltd) ,
all of whom are associated with Laxey Partners ("Laxey"). Together the
requisitionists represent 0.06% of the issued share capital of the Company. In
summary, the notice requires the Company to put to its next Annual General
Meeting ("AGM"), scheduled for 20 May 2011, two resolutions (the "Requisition
Resolutions") to the following effect:
1. to require the Board to introduce a discount control mechanism by buying
back the shares of the Company whenever the discount to Net Asset Value
exceeds 10% during normal market conditions
2. to revise the voting rights in each of the savings schemes run by the
Company's subsidiaries
The content of these Requisition Resolutions is substantially the same as that
previously notified by Laxey on 10th November 2010. The Board will recommend
shareholders to vote against both Requisition Resolutions and will set out its
detailed reasons for doing so when it issues the notice for the AGM.
