PDMR share award vesting and exercise, and total voting rights
Alpha FMC (AIM: AFM), a leading global provider of specialist consultancy services to the asset management, wealth management and insurance industries, announces that on 2 March 2022, 31,250 Joint Share Ownership Plan ("JSOP") awards granted in March 2018 have vested following the satisfaction of performance conditions.
These are awards held by John Paton, Chief Financial Officer and a Person Discharging Managerial Responsibilities ("PDMR"), and the awards' performance conditions, relating to total shareholder return exceeding a basket of comparable companies and budgetary performance conditions, were met in full. As a result, 31,250 nominal cost awards over ordinary shares of 0.075 pence per share in the Company ('Ordinary Shares') vested.
The vested awards have been exercised in full and the Company will satisfy these exercised awards using existing shares held in the Alpha Employee Benefit Trust ("EBT"). After this exercise, John Paton holds 298,580 MIP options and JSOP Shares and he and his immediate family are beneficially interested in 91,772 Ordinary Shares representing 0.08% of the Company's total voting rights.
Following the above transaction, the Company will have 118,707,336, Ordinary Shares in issue, of which 6,216,501 are held in the Company's Employee Benefit Trust. No shares are held in treasury. The total number of voting rights in the Company will therefore be 112,490,835, which may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
