Grant of awards to Persons Discharging Managerial Responsibilities (PDMR)

LONDON, United Kingdom and TORONTO, Ontario, Canada 23 October 2024 - Alphawave IP Group plc (LSE: AWE, the "Company" or "Alphawave Semi").

The following notifications are made under the UK Market Abuse Regulation ("MAR") relating to certain transactions by persons discharging managerial responsibilities ("PDMR") in the shares of the Company.

Grant of Awards 

Awards of ordinary shares of £0.01 each in the capital of the Company were granted under the Alphawave IP Group plc Long Term Incentive Plan (the "LTIP") to a PDMR of the Company as follows:

Vesting of the Awards is subject to continued employment. The shares shall vest as follows:

·      On the first anniversary of the award date, 12/48^ths of the shares subject to the award

·      On the first anniversary of each month, starting with the first month beginning after the first anniversary of the award date and ending with the 36^th such month, 1/48^th of the shares subject to the award.

Reason: Recruitment & long term retention strategy, and in alignment with the initial offer of employment made to the PDMR in 2023.  There have been no changes to the terms of this offer.
