ALTERNATIVE LIQUIDITY FUND LIMITED

ISSUE OF EQUITY

The Board announces that Alternative Liquidity Fund Limited (the "Company") has issued 1,049,679 ordinary shares (the "Ordinary Shares"), conditional only on admission to listing on the UKLA's Official List and to trading on the London Stock Exchange, in relation to the acquisition of a portfolio of fund interests ("the Portfolio" in accordance with the Company's investment policy for a total consideration of US$912,906. The Ordinary Shares rank pari passu with the existing shares in issue. It is expected that the new shares will be admitted to listing and to trading at 8.00 a.m. on Wednesday 3 February 2016.

In addition, the Company has reissued 1,020,000 Treasury Shares as Ordinary Shares, in relation to the acquisition of the Portfolio, for a total consideration of US$887,094.

Following this issue, the total number of ordinary shares will be 146,056,635 and the total number of voting rights in the Company will be 146,056,635

There are no shares currently held in Treasury.

The above figures may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
