Results of General Meeting
BigDish Plc (LON: DISH) is pleased to announce the Results of the General Meeting held on 18 March 2021.
A Special Resolution was put to shareholders as follows:
To approve a Special Resolution to change the name of the Company from BigDish Plc to Amala Foods Plc.
The Special Resolution was unanimously passed. The Company informed the Jersey Financial Services Commission (JFSC) on 19 March 2021 that the Special Resolution had been passed.
The Company announced on the 25 February 2021 that it was in the process of forming a Joint Venture ("JVCo") food technology company, Amala Foods Inc ("Amala"). Amala is being established for the production and distribution of minimally processed plant-based meat products initially within Asia. All the required documentation for the completion of the formation of the Joint Venture Company has now been filed with the Securities and Exchange Commission (SEC) and the Company expects that the formation of JVCo will be completed within the coming weeks.
Furthermore, the Company also announced previously that it was in discussions to sign a lease for a purpose-built production facility. This has now been signed and the Company will move in to the facility next month.
The Company announced previously on 25 February 2021 that the goals of the joint venture over the initial six-month period is to complete the development of up to six products ready to be commercialized through both direct-to-consumer and business-to-business (B2B) sales channels. The Company will require no additional funding during this period. Substantial progress on product development has been made over the recent months and the Company expects to announce some product launches within the initial period.
The Company will update the market with regards to a new website address and a new ticker symbol.
