Amati VCT 2 plc ("the Company") 21 December 2015 Smaller Related Party Transaction Amati VCT 2 plc (the "Company") announces that Christopher Macdonald, a director of the Company, has today subscribed for 176,242 new ordinary shares at 113.48p per share (totalling £200,000) in the Top Up offer announced on 28 October 2015. These shares were acquired at the same price as subscriptions by other shareholders that have subscribed for shares in the allotment dated 21 December 2015. This transaction falls as a smaller related party transaction within the definition of Listing Rule 11.1.10R because this dealing, when aggregated with previous subscriptions in the last 12 months (the subscription for 18,470 shares at 108.28p on 24 February 2015) exceeds the 0.25% threshold as set out in LR11.1.10R. SPARK Advisory Partners Limited, the Company's sponsor, has provided written confirmation that the terms of the agreement are fair and reasonable so far as the shareholders of the Company are concerned. Following this transaction Christopher Macdonald has 242,788 shares in the Company, amounting to 0.80 per cent of the issued share capital, as enlarged by this allotment. In addition, and in accordance with Disclosure and Transparency Rule 5.6.1, the Company would like to notify the market of the following: As at 21 December 2015, Amati VCT 2 plc's share capital consists of 30,420,979 ordinary shares with voting rights.  The Company does not hold any shares in Treasury.  Therefore the total number of voting rights in Amati VCT 2 plc is 30,420,979. The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change of interest in, Amati VCT 2 plc under the FCA's Disclosure and Transparency Rules.
