Amati VCT 2 plc 7 February 2014 Offer for Subscription Amati VCT 2 plc (the "Company") announces that, together with Amati VCT plc, it has today published a joint top up offer document (the "Offer Document") in connection with proposals to raise up to £7 million, in aggregate, through offers for subscription of new ordinary shares (the "Offers"). The Offers open on 7 February 2014 and are expected to close at noon on 4 April 2014 in relation to the offer for subscription in respect of the 2013/2014 tax year, and at noon on 30 January 2015 in relation to the offer for subscription in respect of the 2014/2015 tax year (or on an earlier date if the maximum subscription is received).  Issues of new ordinary shares will be made at the discretion of the investment manager and the new ordinary shares issued will be admitted to the Official List of the UKLA and to trading on the main market of the London Stock Exchange upon issue. The new ordinary shares will be issued at an issue price determined in accordance with a  formula (as set out in the Offer Document) and based on the last published net asset value of the Company prior to the date of issue (adjusted for any accrued performance fee) divided by 0.95.  Existing shareholders and new investors are entitled, in certain circumstances, to additional shares of up to 3% of their subscription amount. Those entitled to participate in the "earlybird" offer and who apply before 13 March 2014 will be entitled to a further 1%.  Details are set out in the Offer Document.
