Grant of Options and Directors' Dealing

Amur Minerals Corporation ("Amur" or the "Company"), an exploration and development company focused on Far East Russia, announces that on 22 April 2013 its Board of Directors granted options to directors, key executives and employees.

The issuance of options is intended to incentivise and retain executives and key Russian staff as well as replace options that have expired during the last two years.  The newly assigned options total 18,200,000 shares, allocated as follows:

The newly issued options were set at a strike price of 8.7 pence, a 13.3% premium to the 20 day VWAP per share which vest over a period of one year.  One third vest immediately with two additional vesting periods occurring at six month intervals following grant.  Hence, full vesting of the newly issued options will occur one year from the date of this announcement.  The options will expire in five years.  Following this grant, the total number of options now outstanding is 28.64 million shares, which represents 8.1% of the issued share capital, and the average exercise price of all outstanding options is 10.2 pence.

In addition, on 22 April 2013 the Board of Directors opted to use a portion of their Directors' fees and salary to purchase 375,463 new ordinary shares at the price of 7.68 pence from the Company.  The purchase price was based on the closing price on 19 April 2013, the last trading day prior to the purchase.  This increases the Company's total issued share capital to 353,530,642.  Application has been made for the new shares to be admitted to trading on AIM and dealings are expected to commence on 26 April 2013.  The revised interests of Directors in the Company's shares are now as follows:
