Andrews Sykes Group plc - Grant of share options

The company hereby announces that the following options were granted to 
directors of the company on 1 November 2001 at a price of 89.5 pence per share:

The above options, which may be renounced by the directors on or before 1 
December 2001, may be exercised during the period commencing 3 years following 
the date of grant and ending 10 years after the date of grant.

In addition certain directors were offered the opportunity to replace their 
existing options with new options on the same terms and conditions as the 
existing options except that the option price would be 89.5 pence per share. At 
this time the following directors have accepted this offer:
