DIRECTORS' WAIVER OF SHARE OPTIONS UNDER A CASH CANCELLATION OFFER
On 18 November, the Board of Andrews Sykes Group plc made a cash cancellation
offer (the 'Cancellation Offer') to all of the Company's share option holders.
The price offered was £1.95 per share and remains open for acceptance until 8
December 2004.
Pursuant to this offer, the following Directors of the Company (are related
parties of the Company in relation to the Cancellation Offer) on 23 November
2004 gave notice of their intention to accept the offer in respect of the
following options: J-G Murray, 1,900,000; J-C Pillois, 873,707; EDOA Sebag,
825,862; RJ Stevens, 100,000.
The Company will pay 105.5 pence per share in respect of the cancellation of
these options.
The two Directors of the Company, Michael Gailer and Richard Pollard, who are
independent in relation to the Cancellation Offer, believe the arrangement
outlined above to be fair and reasonable as far as shareholders are concerned,
having consulted Ernst & Young LLP, the Company's Nominated Adviser.
