Anglo American PLC 8 May 2001 Directors' Interests in Anglo American plc Ordinary Shares - Bonus Issue At an Extraordinary General Meeting of Anglo American plc ('AA plc') held on 4 May 2001 the ordinary shareholders approved the proposed bonus issue of three new AA plc ordinary shares for each existing AA plc ordinary share held and the directors allotted the shares to shareholders registered on that date. His interest in 15,000 (60,000 after the bonus issue) of these shares arises as a result of his being one of approximately 620 members of the Combined Annuity Retirement Fund, which is a registered retirement annuity fund under the South African Pensions Fund Act. In addition J Ogilvie Thompson has an interest in discretionary trusts which have an indirect economic interest in 4.59 per cent. of the 29,257,760 (117,031,040 after the bonus issue) shares referred to in the next footnote by virtue of his interest in discretionary trusts of which he is a potential discretionary beneficiary. £ N F Oppenheimer has an interest in discretionary trusts that have an indirect economic interest in 84.51 per cent. of 29,257,760 (117,031,041 after the bonus issue) shares, by virtue of his being a potential discretionary beneficiary of trusts which are interested as disclosed. His non-beneficial interest in 355,284 (1,421,136 after the bonus issue) shares arises as a result of his and his wife's positions as trustees of a charitable trust.
