Anglo American Employee Share Ownership Plan

On business days between 8 February to 14 February 2002 both days inclusive, the
Butterfield Trust (Guernsey) Limited, as trustee of the Anglo American Employee
Share Ownership Plan ('the Trust'), transferred 105,800 Ordinary Shares in the
Company to participants of the Anglo American share schemes leaving a balance of
58,199,339 Ordinary Shares held by the Trust.

The Company was advised of this transaction on 14 February 2002.

The following directors together with all employees are potential beneficiaries
of the Trust although the directors were not connected with the transactions
that took place on the abovementioned dates.
