Anglo American plc (the 'Company')
De Beers Transaction and Bonus Issue
At the Extraordinary General Meeting of the Company held today the resolutions
necessary to approve the De Beers Transaction (as detailed in the circular to
shareholders of the Company dated 10 April 2001 (the 'Circular')) and to
implement the three-for-one bonus issue were duly passed .
Application has been made to the UK Listing Authority for 1,222,983,732
ordinary shares of US$0.50 each to be admitted to the Official List, for these
shares to be admitted to trading by the London Stock Exchange (the 'LSE') and
for the JSE Securities Exchange South Africa (the 'JSE') and the SWX Swiss
Exchange (the 'SWX') to list the bonus shares.
Dealings in the bonus shares are expected to commence on the LSE, JSE and SWX
on Tuesday, 8 May 2001.
The De Beers shareholder meetings to approve the De Beers Scheme of
Arrangement and related matters have been adjourned to 18 May 2001. Subject to
the satisfaction of the conditions to the De Beers Scheme of Arrangement
described in the Circular, it is expected that the De Beers Transaction will
become operative on 4 June 2001 and will be implemented on 8 June 2001.
The record date for the bonus issue is at the close of business today, 4 May
2001, and, subject to the UK Listing Authority agreeing to admit the bonus
shares to the Official List, the LSE agreeing to admit the bonus shares to
trading and the JSE and the SWX agreeing to list the bonus shares, share
certificates in respect of the bonus shares will be despatched on Tuesday, 8
May 2001, on which date CREST accounts will also be credited.
The directors have today resolved to apply for listings of the Company's
issued share capital on the Botswana and Namibian Stock Exchanges, subject to
the De Beers Transaction becoming operative.
All the resolutions were passed on a show of hands and the proxy votes were

A De Beers, Central Holdings, and their respective associates, and J Ogilvie
