              OFFER FOR DE BEERS - SATISFACTION OF PRE-CONDITIONS

Anglo American announces that all of the pre-conditions required for the making
of the proposed offer by DB Investments to De Beers linked unit holders (as
described in the announcement dated 15 February 2001) have been satisfied.
Accordingly, DB Investments has today announced its firm intention to proceed
with the offer.

The scheme document and shareholder circular are expected to be posted to De
Beers linked unit holders and Anglo American shareholders respectively in April
2001.
