Notification and public disclosure of transactions by persons discharging managerial responsibilities and persons closely associated with them

Following the announcement of the admission of Aquis' ordinary shares of 10p each ("Ordinary Shares") to trading on the AIM market of the London Stock Exchange ("Admission") and Aquis' first day of dealings, Aquis confirms the following interests of its persons discharging managerial responsibilities ("PDMR") in the securities of Aquis arising by virtue of Admission.  

As disclosed in its Admission Document, details of all known interests currently held by PDMRs in the issued share capital of Aquis as at Admission are as follows:

A. Exercise of Options

Prior to Admission, Jonathan Clelland chose to exercise options pursuant to an existing Enterprise Management Incentive Scheme (where the grantor was Alasdair Haynes) (the "Lapsing Incentive Scheme"). If these options were not exercised, they would have lapsed 40 days after Admission.

The exercise of the following options pursuant to the Lapsing Incentive Scheme took place on the date of Admission:

B. Grant of options

Ahead of Admission, the Board approved the grant of options under the new Aquis Exchange Enterprise Management Incentive Share Option Plan. The grant was approved conditional on Admission. The grant has been made on the date of Admission to the following PDMRs:

These options will vest in tranches of one third on each of the 14 June 2019, 14 June 2020 and 14 June 2021, subject to the rules of the plan, and may be exercised prior to 14 June 2028.

C. Sale of Shares 

As disclosed in the Admission Document, on Admission, the following disposals of Ordinary Shares were made by the following PDMRs at the IPO placing price of £2.69:
