At the Company's Annual General Meeting held on 15 November 2002, all proposed
resolutions were duly passed.



The special resolution passed was as follows:



*     A special resolution to renew the power of the Directors to allot equity
      securities on a non-pre-emptive basis subject to certain limitations.
