ANNUAL GENERAL MEETING 2002
15th May, 2002 - ARC International plc (LSE: ARK), announces that at the Annual
General Meeting of the company held earlier today, all of the resolutions were
passed.
Resolution 9 passed at the Annual General Meeting grants authority from
shareholders to the Directors for the Company to purchase its own shares. The
minimum price payable per Ordinary Share is 0.1p and the maximum price is 105%
of the average of the middle market quotations for an Ordinary Share for the
five business days immediately preceding the date of purchase. The authority can
be exercised in respect of a maximum of 14,463,219 Ordinary Shares. The
Directors intend to exercise this power only when, in the light of market
conditions prevailing at the time, they believe that the effect of such
purchases will be to increase earnings per share and is in the best interest of
shareholders generally.
