Conversion of Subscription Shares

Artemis Alpha Trust plc (the "Company") has issued 15,349 ordinary shares of 1p each in the capital of the Company (the "New Shares") in connection with the exercise of subscription rights by holders of a corresponding number of subscription shares of 1p each in the capital of the Company (the "Subscription Shares"), conditional only on Admission.  The New Shares will rank pari passu in all respects with the existing ordinary shares of 1p each in the capital of the Company ("Ordinary Shares").

Further to its announcement of 5 July 2011 regarding applications for a blocklisting facility in connection with the issue of Ordinary Shares on the exercise of subscription rights conferred by Subscription Shares, the Company has withdrawn that application and, in its place, submitted applications to the UK Listing Authority and the London Stock Exchange for the New Shares to be admitted to the Official List and to trading on the London Stock Exchange's Main Market respectively ("Admission").  Admission is expected to become effective, and dealings in the New Shares are expected to commence, at 8.00 a.m. on 7 July 2011.  Following the issue of the New Shares, the Company's issued share capital will comprise 48,840,588 Ordinary Shares, of which 150,000 are held in treasury, and 6,871,016 Subscription Shares (which carry no voting rights).  Therefore, the total number of shares with voting rights in the Company will be 48,690,588 Ordinary Shares.

The above figure (48,690,588) may be used by Ordinary Shareholders and other investors as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
