Total Voting Rights and Capital

In accordance with DTR 5.6.1 of the Financial Conduct Authority's Disclosure and Transparency Rules, the Company would like to notify the market of the following:

As at 31 December 2013, the Company's issued share capital consists of 47,368,962 Ordinary shares of 1 pence, carrying one vote each, of which 3,603,800 are held in treasury, and 6,865,466 Subscription shares (which carry no voting rights). Therefore as at 31 December 2013,the total number of voting rights for Ordinary shareholders in the Company is 43,765,162.

The above figure (43,765,162) may be used by Ordinary shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
