Archimedia Ventures PLC 05 August 2005 ARCHIMEDIA VENTURES PLC Agreement re Acquisition of Rights Archimedia Ventures Plc ('Archimedia' or the 'Company') is pleased to announce that it has signed an agreement with Spell Cast Systems Limited ('Spell Cast'), the owner of the intellectual property rights in the newly launched football results prediction game 'Victor Predictor', which is operated from the website www.victorpredictor.com. Under the terms of the agreement, Spell Cast has agreed to grant Archimedia an exclusive worldwide license to promote and develop the non-internet formats of Victor Predictor. In particular, it is hoped to develop a television format for the game. As consideration for the agreement, the Company has agreed to issue to Spell Cast 25,000 ordinary shares of 1 penny each at the closing midmarket price per ordinary share on 4 August 2005 and to pay to Spell Cast the cash sum of £5,000. Application has been made for these new ordinary shares to be admitted to trading on AIM and their admission is expected to occur on 10 August 2005. The Company has also been granted certain rights of pre-emption by Spell Cast if it wishes to transfer interests in the intellectual property rights in Victor Predictor and by Kevin Fisher, the sole shareholder of Spell Cast, if he wishes to transfer interests in shares in Spell Cast.
