Performance Share Plan
Save As You Earn Scheme
On 30 July 2008, ASOS granted awards under the ASOS Performance Share Plan 2006 (the 'PSP'), further details of which are set out below. These awards comprise conditional allocations of ordinary shares of 3.5 pence each in the Company ('Ordinary Shares'), at a value based on the closing price of the Ordinary Shares on 30 July 2008, being 318.0 pence per Ordinary Share, which will vest on the third anniversary of grant, subject to the satisfaction of the relevant performance conditions set by the remuneration committee.

The Ordinary Shares to satisfy the above awards will be purchased by the trustee of the PSP in the market in accordance with the rules of the PSP, and a further appropriate announcement will be made in due course.
In addition to the awards granted under the PSP, the directors have also, under the ASOS plc HMRC Approved Save As You Earn Option Plan (the 'SAYE Plan'), acquired the option to acquire shares at 283.2 pence per share via the SAYE Plan and are accordingly treated as having the following interests in such Ordinary Shares:
