Withdrawal of AGM Resolutions 18 and 19
ASOS announces that the Board has taken the decision to withdraw Resolutions 18 and 19 from the agenda of the annual general meeting ("AGM") of the Company to be held at Greater London House, Hampstead Road, London, NW1 7FB on Wednesday 22 January 2025 at 2.30pm.
Resolutions 18 and 19 were special resolutions relating to the disapplication of pre-emption rights in respect of the allotment of equity securities for cash, with limits in line with the Pre-Emption Group's 2022 Statement of Principles. Though the Board considers the flexibility afforded by these authorities to be in the best interests of the Company, it has taken the decision to withdraw Resolutions 18 and 19 from the agenda for the AGM, following feedback from some of the Company's shareholders since the publication of the notice of AGM.
The withdrawal of Resolutions 18 and 19 does not affect the validity of the notice of AGM, the proxy form, or any votes submitted in respect of the remaining resolutions to be proposed at the AGM. Arrangements for the AGM are unchanged from those previously notified, as is the numbering of the remaining resolutions at the AGM.
