On 9 January 2001 Associated British Engineering plc ('the Company') announced
that it reached an agreement to sell the properties held for sale, being land
and properties at Havant, for £1,000,000 before costs of disposals and an
allowance of £50,000 for remedial and environmental works, subject only to
shareholders' approval. The net book value of these properties is £926,000.
The circular seeking shareholders' approval for the proposed sale was posted to
shareholders on Friday, 23 February 2001 and the Extraordinary General Meeting
will be held at 11.00 am on 14 March 2001 at the registered office of the
Company.
