Notification was received yesterday that a conditional allocation of ordinary shares of 5^15/22 pence was made to each of the following directors of Associated British Foods plc on 23 November 2011under the terms of the ABF Executive Share Incentive Plan 2003:

George Weston         166,606 shares

John Bason                109,614shares

The allocation was made on the basis of an allocation price of 1,098.4 pence (being the average of the daily closing mid-market prices for the shares over the five consecutive business days 16 to 22 November 2011inclusive) in accordance with the terms of the Plan.
