Acquisition and Issue of Consideration Shares

 

Assura plc ("Assura"), the UK REIT and leading primary care property investor and developer announces that on 20 July, it acquired Pentagon HS Limited from its former shareholders Diane Bungay, Thomas Cahill, Tina Bilham, Mark Vose and Helen Wood (together, the "Sellers"). As part of the consideration payable under the terms of the acquisition, Assura has agreed to issue to the Sellers 4,545,455 ordinary shares of 10 pence each ("Ordinary Shares"). These new shares will rank pari passu with the existing Ordinary Shares.

 

Application has been made to the UK Listing Authority and to the London Stock Exchange for the new shares to be admitted to the Official List and to trading on the London Stock Exchange's main market for listed securities ("Admission"). It is expected that Admission will occur at 8.00 a.m. on 22 July 2015. Based on the closing share price on 20 July 2015 of 55.25 pence per share, the new shares issued are valued at 2.5 million.

 

For the purposes of the Financial Conduct Authority's Disclosure and Transparency Rules ("DTRs"), the issued ordinary share capital of the Company following Admission will consist of 1,011,445,596 Ordinary Shares. This total voting rights figure may be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interests in, or a change to their interest in, the Company under the DTRs.
