In  addition to the above personal interests of Messrs Carpenter, Mumford  and
Holt, each of them is deemed, as a potential beneficiary, to be interested  in
the  whole  of  the  holding  of the trustee of  the  Group's  Employee  Share
Ownership Trust ('ESOT'), which is currently 9,446,828 Ordinary shares of  25p
each in the Company, representing  4.37 % of its present issued share capital.
The  potential beneficiaries of the ESOT include any of the Group's employees.
In  certain  cases  the  executive share options  disclosed  above  of  Messrs
Carpenter,  Mumford and Holt have been granted over shares held by  the  ESOT.
The ESOT holding of 9,446,828 shares includes such shares.
