Result of Rights Issue
The Board of Amlin announces that the 2 for 7 Rights Issue of 59,582,887 New
Amlin Shares at 77p per share to raise approximately £43.2 million, net of
expenses, which closed at 3.00 p.m. on 4 February 2002, has been taken up as to
23,624,655 New Amlin Shares (39.7 per cent. of the total offered to Shareholders
under the Rights Issue).
It has not been possible to procure subscribers for those New Amlin Shares for
which valid acceptances were not received at a price (net of the expenses of
procuring subscribers) in excess of the Rights Issue Price. Accordingly, the
sub-underwriters will subscribe at the Rights Issue Price of 77p per share for
those New Amlin Shares for which valid acceptances were not received. There are
therefore no net proceeds to be distributed to Qualifying Shareholders who did
not take up their entitlements in accordance with the terms of the Rights Issue.
Dealings in the New Amlin Shares commenced, fully paid, at 8.00 a.m. on 5
February 2002. It is expected that CREST member accounts will be credited for
New Amlin Shares taken up under the Rights Issue in uncertificated form on 5
February 2002 and that definitive share certificates in respect of those New
Amlin Shares taken up under the Rights Issue in certificated form will be
despatched on the same day.
Words and expressions defined in the prospectus dated 20 December 2001 relating
to the Rights Issue have the same meaning when used in this announcement unless
the context otherwise requires.
