                        MANPOWER SOFTWARE PLC ("the Company")

                      NOTIFICATION OF MAJOR INTEREST IN SHARES


The Company was notified on 9 May 2003 that, following the sale on 22 April 2003
of 1,568,750 ordinary shares of 5p each in the Company ('Ordinary Shares'),
Electra Quoted Management Limited no longer has a notifiable interest in the
ordinary shares of the Company.


In addition, it was announced on 22 April 2003 that following the purchase of
100,000 Ordinary Shares, Philip Morgan was interested in 147,468 Ordinary
Shares.  This number does not include shares already held by Mr Morgan.  Philip
Morgan is interested in 209,746 Ordinary Shares representing 0.47 per cent. of
the issued share capital.
