                    MANPOWER SOFTWARE PLC (the 'Company')

                                Result of EGM

The Directors of Manpower SoftWare plc are pleased to announce that at the
Extraordinary General Meeting of the Company held earlier today the resolution
set out in the notice of meeting to approve the Company's Rights Issue was
duly passed as a special resolution.

It is expected that Provisional Allotment Letters will be posted today to
shareholders on the register at the close of business on 14 March 2001 (save
for certain shareholders with overseas addresses).
