THIS NOTICE is addressed to the holders of the Notes issued by the Issuer pursuant to the terms and conditions of the Notes, and the trust deed constituting the Notes (the "Trust Deed").
Unless the context requires otherwise, words and expressions used in this notice have the meanings and constructions ascribed to them in the master definitions and construction schedule (the "Master Definitions and Construction Schedule") dated 1 February 2021.
In accordance with Clause 3 (Exercise of Call Option) of the deed poll dated 1 February 2021 and executed by the Issuer (the "Deed Poll"), Lendco Limited ("Lendco" and the "Option Holder") has delivered notice to the Issuer (the "Exercise Notice") exercising the Call Option (as defined below) with a proposed Optional Purchase Completion Date of 25 January 2024 (the "Call Option Exercise") as described below.
Background
1. Pursuant to the Deed Poll, the Issuer granted to the Option Holder a Call Option to require the Issuer to sell to the Option Holder the beneficial title to all the Loans and Related Security in the Portfolio (the "Whole Beneficial Title").
2. Pursuant to the Deed Poll, the Option Holder is required to exercise the Call Option by the service of an Exercise Notice on the Issuer (copied to the Note Trustee and the Security Trustee) with the Optional Purchase Completion Date falling on the Interest Payment Date immediately following the date of the Exercise Notice and may in the Exercise Notice nominate itself or a Third Party Purchaser (the "Potential Purchaser") to purchase the whole Beneficial Title.
3. The Issuer must then serve a counter notice (the "Counter Notice") on the Option Holder confirming the amount of the Optional Purchase Price.
4. To proceed with the purchase of the Whole Beneficial Title pursuant to the Call Option, the Option Holder shall confirm whether it wishes the Issuer to proceed with the sale of the Whole Beneficial Title by serving a notice on the Issuer within two Business Days of receipt of the Counter Notice (the "Acceptance Notice"). If no Acceptance Notice is served within two Business Days, then the Exercise Notice and the Counter Notice shall be of no further effect.
Call Option Exercise
5. The Issuer received an Exercise Notice (in copy to the Note Trustee and the Security Trustee) from the Option Holder on 17 January 2024, nominating itself as the Potential Purchaser of the Whole Beneficial Title, with an Optional Purchase Completion Date of 25 January 2024.
6. The Issuer shall deliver a Counter Notice on the Option Holder specifying the amount of the Optional Purchase Price payable by the Potential Purchaser on such date.
7. The Optional Purchase Price received by the Issuer will be applied in accordance with the Pre-Enforcement Priority of Payments on the Interest Payment Date falling on the same date as the Optional Purchase Completion Date.
