Audioboom Group plc (AIM: BOOM), the leading spoken word audio on-demand platform, is pleased to announce that, at its Extraordinary General Meeting held earlier today, the following resolutions were duly passed on a show of hands.
The proxy voting results for the resolutions, including resolutions 1 and 2 in connection with the Placing and Subscription, are included below:

Admission
Application has been made for 112,000,000 new ordinary shares in the Company ("New Ordinary Shares"), which will rank pari passu with the existing ordinary shares in the Company, to be admitted to trading on AIM ("Admission"). Admission is expected to occur at 8.00 a.m. on 22 May 2019, following which the total number of ordinary shares and voting rights in the Company will be 1,400,675,619. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company pursuant to the FCA's Disclosure Guidance and Transparency Rules.
Capitalised terms used but not defined in this announcement shall have the meanings given to such terms in the announcement issued by the Company dated 30 April 2019 unless otherwise defined herein.
