                             Annual General Meeting

The Off-plan Fund Limited (the 'Fund'), which specialises in the provision of
forward finance to UK house builders, is pleased to announce that all
resolutions put to shareholders at the Fund's Annual General Meeting held in
Jersey on 23 April, including two special resolutions: to approve an amendment
to the articles of the Company to allow for an annual continuation vote and to
approve the Fund's share buy-back authority, were duly passed.

The Fund is managed by Development Capital Management (Jersey) Limited.
