Subscription to raise £80,000
The Company is pleased to announce that it has raised £80,000 (before expenses) by way of a subscription (the "Subscription") by existing and new investors for a total of 15,000,000 ordinary shares at 0.53333p each (the "Subscription Shares"). The net proceeds raised will be used to provide working capital purposes generally.
The Company will issue the Subscription Shares out of treasury.
Roger Maddock, a Director of the Company, has agreed to subscribe for 1,875,000 Subscription Shares as part of the Subscription. Following the issue of the Subscription Shares his holding in the enlarged issued share capital of the Company will be as follows:

In addition, Mike Henebery and Mark Horrocks, substantial shareholders of the Company, have both agreed to subscribe for 1,875,000 Subscription Shares each.
Due to the fact that Roger Maddock is a Director of the Company, his participation in the Subscription constitutes a related party transaction as defined by the AIM Rules. The participation in the Subscription by Mike Henebery and Mark Horrocks is also a related party transaction as defined by the AIM Rules due to the size of their shareholdings. Roger King, having consulted with Sanlam Securities UK Limited, the Company's Nominated Adviser, consider that Mr Maddock, Mr Henebery and Mr Horrocks's participations in the Subscription are fair and reasonable insofar as shareholders are concerned.
Following the issue of the Subscription Shares, the Company will have 31,574,356 ordinary voting shares in issue.
