Total Voting Rights
The Board of Audioboom announces that the issued share capital of the Company as at the date of this announcement comprises 747,297,991 ordinary shares with one voting right per share. The Company does not hold any ordinary shares in treasury. Therefore, the total number of ordinary shares and voting rights in the Company is 747,297,991.
The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
Subject to the passing of resolutions to be put to shareholders at an Extraordinary General Meeting to be held on 6 April 2017, the Company expects to issue, and admit to AIM, further ordinary shares relating to the Second Placing and the Loan Note conversion (as those terms were defined in the announcement of 21 March 2017 titled "Placing and Subscription to raise up to £4m"). A further announcement regarding the resolutions and the enlarged issued share capital will be made following that meeting.
