AUKETT ASSOCIATES PLC ('the Company')

Following the subscription on 13th December 1999 for 5.6 million new ordinary
1p shares in the Company by the Aukett Employees Trust, under the terms of the
1997 Executive Directors' award scheme, a total of 2.8 million shares have
been placed at 18.1/2 p per share with Institutions by the Company's
stockbrokers, Williams de Broe Plc. The funds raised by the placing will be
used by the four individuals in order to settle their Income Tax liabilities
arising from the award. The balance of the 2.8 million shares have been
allotted equally to the four entitled executive directors whose holdings in
the ordinary share capital of the Company are now as follows:-
