Results of Annual General Meeting

Aurora Investment Trust plc confirms that at its AGM held on 10 June 2019 all resolutions were passed on a show of hands. The proxy votes received were as follows:

At the time of the above meeting, the Company's issued share capital was 60,972,222 Ordinary Shares.  The Company is holding no shares in Treasury.  Therefore, the total number of ordinary shares with voting rights in the Company was 60,972,222. A "Vote withheld" is not a vote in law and is not counted in the calculation of the % of shares voted "For" or "Against" a resolution.

The Company notes the votes received on resolutions 6, ("Election of Mr Tatters as a director of the Company").  In accordance with the UK Corporate Governance Code, the Board will consult with its shareholders to address their concerns on this matter.  However, the Board would like to report that an evaluation of the Board's composition is already underway and an update will be provided in due course.

In accordance with LR 9.6.2 and LR 9.6.3, copies of the resolutions passed as special business will be submitted to the National Storage Mechanism website and will be available for inspection at www.morningstar.co.uk/uk/NSM shortly.
