Dear Sirs,
I am writing to advise of changes in the interests of 3 directors of Aviva plc
as detailed below:
PG Gyllenhammar acquired a total of 1,004 shares through the Company's dividend
reinvestment plan. Of these, 573 were acquired on 17 May 2002 and 431 were
acquired on 15 November 2002. Following these transactions, Mr Gyllenhammar
holds a total of 25,760 Aviva plc shares.
DM Stevens acquired a total of 14 shares through tax and dividend reinvestments
in respect of his single company PEP. These reinvestments took place on 17 May
2002 (9 shares), 24 July 2002 (2 shares) and 15 November 2002 (3 shares).
Following these transactions, Mr Stevens holds a total of 2,005 Aviva plc
shares.
Lady Joan Partridge (the wife of Sir Michael Partridge, a director of Aviva plc)
disposed of the 352 shares which comprised her PEP holding on 7 June 2002. This
sale was as a result of Lady Partridge's PEP manager's decision to no longer
offer and service single company PEP contracts. Following this transaction, Sir
Michael Partridge holds a total of 2,004 Aviva plc shares.
All the above transactions involved shares held in nominee accounts and were
therefore not identified immediately they took place via our usual processes for
monitoring our directors' shareholdings. Additionally we were not advised by the
various nominees in accordance with standing instructions. They were, however,
identified as part of our year-end reconciliation process, but we are
accordingly late in advising you of these transactions. Please accept our
apologies for this.
We would take this opportunity to confirm that we are now reminding all our
directors of their obligations in this respect and that we are also reviewing
our procedures to identify any ways in which we can monitor nominee accounts
more closely.
