              Avon Rubber plc ('the Company'): Employee Share Plans - 
     Announcement of transaction in ordinary shares of £1 each (the 'Shares').



The Company announces that on 15 December 2005, nil-cost options over Shares
(the 'Options') and a nil cost conditional award of shares (the 'Conditional
Award') were granted under the Company's Performance Share Plan 2002 to
executive directors and persons discharging managerial responsibility ('PDMRs'),
as listed below.

The awards were granted on the date shown below at nil-cost.
