  Avon Rubber p.l.c. ('the Company'): Employee Share Plans - Announcement of 
         transaction in ordinary shares of £1 each ('the Shares').

The Company announces that on 18 October 2006, nil-cost options over Shares (the 
'Options') granted under the Company's Performance Share Plan to executive 
directors and persons discharging managerial responsibility ('PDMRs'), as listed 
below, lapsed because the performance conditions attached to those Options were 
not met.

The awards were granted on the date shown below at nil-cost.
