Notification of Interests of Directors

The Avon Rubber Employee Share Ownership Trust (the 'ESOT')

On 17 March 2003, Towers Perrin Share Plan Services (Guernsey) Ltd, informed
Avon Rubber p.l.c. that it had acquired, as trustee of the ESOT, 100,000
ordinary Shares of £1 each in Avon Rubber p.l.c at a cost of 165 pence per
share.

As potential beneficiaries under the ESOT, each executive director of Avon
Rubber p.l.c is treated as being interested in all shares acquired by the ESOT.
The Executive Directors of Avon Rubber p.l.c are Steve Willcox, Terry Stead,
Steve Stone, Lee Richards and Detlev Bartels.

Following the above transaction, the ESOT holds an aggregate of 950,000 ordinary
shares in the Company.
